
Short Form Mutual Non-Disclosure Agreement (NDA)
A Short Form Mutual Non-Disclosure Agreement is a brief contract in which two parties agree to protect the confidential information they share with each other. "Mutual" means the obligations run both ways - each party can be a Disclosing Party and a Receiving Party, so the same protections apply to both sides rather than favouring one. "Short form" signals that it covers the core confidentiality terms in a compact, readable way, without the extended provisions found in longer agreements.
The agreement defines what counts as Confidential Information, sets out how the receiving side may use and share it, and states how long those obligations last. It also addresses situations where disclosure is required by law, where personal data is involved, and what happens to the information once the discussions end.
